職務說明 / Key Responsibilities
1. 綜理公司或集團之法務、合約管理工作,保護集團合約權益。
Oversee all legal and contract management matters for the company and the group to protect contract rights of the group.
2. 集團合約全流程之法律支持,包括招標、投標、履約、變更、工期展延及求償等法律事項。
Provide full-spectrum legal support throughout the contract lifecycle across the group, including bidding, tendering, contract performance, change orders, extension of time (EOT), and claims.
3. 審查、擬定及談判工程契約、合作協議、共同承攬、合資協議、採購與分包合約等各類法律文件。
Review, draft, and negotiate various legal documents such as engineering contracts, cooperation agreement or MOU, consortium agreement, joint venture agreements, procurement contracts, and subcontracts.
4. 管理國內及海外法律案件與爭議處理,代表公司與對方協商或配合律師訴訟策略。
Manage domestic and international legal cases and dispute resolution, represent the company in negotiations, and coordinate with external counsel on litigation strategies.
5. 管理法務及合約管理團隊,培養專業人才,提升專業能力。
Lead the legal team and contract management team, develop professional talent, and enhance the organization’s internal professional capabilities.
需求條件 / Key Requirements
Must have
1. 擁有10至15年以上大型企業法務部門或律師事務所工作經驗,有相當法律界人脈。
Over 10 to 15 years of experience working in the legal department of large corporations or in law firms. Has extensive connections in the legal field.
2. 熟具工程案執行之相關經驗,包括熟知採購法規定及領、投標及各類工程類型履約等過程。
Well-versed in the Procurement Acts and execution of engineering projects, including comprehensive knowledge of bidding, tendering, and contract performance for various types of construction works
3. 擅長合約審查、議約及處理爭議糾紛機制 (調解、訴訟、仲裁等),具處理國際案件之經驗。
Skilled in contract review, negotiation, and dispute resolution (mediation, lawsuit, arbitration, etc.), with experience in handling international cases
4. 能獨立處理上市公司投資案件及公司治理相關法律問題。
Capable of independently managing legal matters related to investment projects and corporate governance for publicly listed companies
