職務說明 / Key Responsibilities
1. Capital Markets Support
- Provide legal and financial support for the company’s capital market activities in Taiwan, Mainland China (A-shares), and Hong Kong, including IPOs, secondary offerings (SPOs), and bond issuances.
- Ensure compliance with securities regulations, stock exchange rules, and disclosure requirements.
- Collaborate with investment banks, auditors, and external counsel to complete capital market transactions.
2. Investment & M&A Support
- Lead or participate in cross-border M&A, equity investments, and joint venture projects.
- Conduct financial and legal due diligence to assess investment risks and opportunities.
- Draft, review, and negotiate key transaction documents (LOI, SPA, SHA, etc.).
- Manage and coordinate external advisors and law firms to ensure efficient and compliant deal execution.
3. Finance, Accounting & Tax Advisory
- Partner with the CFO and senior executives to provide financial and legal perspectives on major business decisions.
- Support transaction structuring, valuation analysis, and post-deal integration planning.
需求條件 / Key Requirements
1. Bachelor’s or Master’s degree in Finance, Business Administration, Accounting, Economics, or related fields.
2. Fluent in Mandarin and English, with excellent communication and negotiation skills.
3. Strong expertise in industry research, financial analysis, and financial modeling.
4. Proven ability to independently manage investment and M&A projects as project lead.
5. High sense of responsibility and ability to work under pressure.
6. Preferred experience in Investment Banking, Private Equity/Venture Capital, Securities Firms, or Big Four Financial Advisory.
Role Nature: Project-based; no direct subordinates.
Assignment: Expatriate role based in Shenzhen, with a primary focus on M&A transactions and cross-border investments.
